Corporate structure transformation when driven by external forces

Keynote Address
Ken Sommer, former CEO/EVP/CFO Visa International, and member of the Visa restructure (+IPO) team. 

While corporate structure generally follows business strategy, external forces can drive the need for change. Responding to such forces in the market place and business environment, Visa, the world’s largest credit card network, completed a restructuring last October that combined the U.S., Canadian and International operations to emerge as Visa Inc.

Sommer will discuss Visa's restructure (+IPO): The business situation, strategic alternatives and the restructure solution. The Visa IPO, at an anticipated $19 billion valuation, ranks it among the largest global IPOs and the largest in the United States.

 
Agenda:

4:00 p.m.  Workshop Session I -- “Corporate control, governance and mergers & acquisitions," presented by Michael Mazzeo,  associate dean for Undergraduate Programs and Finance, Eli Broad College of Business. The workshop will examine economic motives and outcomes of M&A activities with a view towards the increasing role of hedge funds, private equity and sovereign wealth. 

5:30 p.m. Workshop Session II -- "Developing leaders at the Broad School: How we do it in our programs,"  presented by Bob Duncan, the Eli and Edythe L. Broad Dean of the Eli Broad College of Business; Michael Mazzeo, associate dean; and Helen Dashney, director, Corporate and Academic Relations. The workshop provides examples of what the Broad School is doing in its programs to develop leaders for the global market place.
